1. Agreement to Terms

By accessing and using RxCodeLabs' website and services, you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

RxCodeLabs provides custom software development services, including but not limited to:

• Mobile application development (iOS, Android, cross-platform)
• Web application and website development
• E-commerce platform development
• Analytics and dashboard solutions
• Custom software solutions
• Software consulting and technical advisory

3. Service Terms

3.1 Project Scope and Quotations

• All quotations are valid for 30 days from the date of issue
• Project scope must be mutually agreed upon in writing before work commences
• Any changes to the agreed scope may result in additional costs and timeline adjustments
• Final pricing is confirmed upon project scope approval

3.2 Payment Terms

• Payment schedules will be outlined in individual project contracts
• Typical payment structure: 50% upfront, 50% upon project completion
• Payments are due within 7 days of invoice date
• Late payments may incur interest charges of 5% per month
• Project delivery may be withheld until full payment is received

3.3 Project Timeline

• Estimated timelines are provided in good faith but are not guaranteed
• Delays caused by client feedback, approvals, or content provision may extend timelines
• Force majeure events may affect delivery schedules

4. Intellectual Property Rights

4.1 Client Ownership

Upon full payment, the client owns:

• The final delivered software product
• Custom-developed code specific to the project
• Project-specific design assets

4.2 RxCodeLabs Retention

RxCodeLabs retains ownership of:

• Reusable code libraries and frameworks
• Development tools and methodologies
• Pre-existing intellectual property
• The right to showcase the project in our portfolio (unless confidentiality is agreed)

5. Client Responsibilities

Clients agree to:

• Provide timely feedback and approvals
• Supply necessary content, credentials, and materials
• Respond to communications within reasonable timeframes
• Make payments according to the agreed schedule
• Obtain necessary licenses for third-party services or assets

6. Warranties and Disclaimers

6.1 Service Warranty

We warrant that:

• Services will be performed with professional skill and care
• Delivered software will substantially conform to agreed specifications
• We will provide bug fixes for 30 days post-delivery (for defects in our code)

6.2 Limitations

We do not warrant:

• Uninterrupted or error-free operation
• Compatibility with all future third-party updates
• Specific business outcomes or revenue generation

7. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability shall not exceed the amount paid for the specific project
• We are not liable for indirect, incidental, or consequential damages
• We are not responsible for losses resulting from client misuse of delivered software
• Clients are responsible for maintaining backups of their data

8. Confidentiality

Both parties agree to:

• Maintain confidentiality of proprietary information
• Use confidential information only for project purposes
• Return or destroy confidential materials upon request

9. Termination

9.1 Termination by Client

• Client may terminate with 14 days written notice
• Client is responsible for payment of all work completed to date
• Partial refunds are calculated based on completed work

9.2 Termination by RxCodeLabs

We may terminate if:

• Client fails to make payments within 30 days of due date
• Client breaches these Terms materially
• Client requests work that violates laws or regulations

10. Support and Maintenance

• Basic support (30 days) is included post-delivery for bug fixes
• Extended support and maintenance require separate agreements
• Feature additions and enhancements are quoted separately
• Emergency support may be available at premium rates

11. Third-Party Services

• Projects may require third-party services (hosting, APIs, licenses)
• Clients are responsible for costs and terms of third-party services
• We are not liable for third-party service failures or changes

12. Dispute Resolution

• Disputes should first be addressed through good-faith negotiation
• If unresolved, disputes will be settled through arbitration in Kenya
• The prevailing party may recover reasonable attorney fees

13. Governing Law

These Terms are governed by the laws of Kenya. Any legal proceedings shall be conducted in Kenyan courts.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to this page. Continued use of our services constitutes acceptance of updated Terms.

15. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with any project-specific contracts, constitute the entire agreement between you and RxCodeLabs.
